- All offers are non-binding until confirmed in writing, with a validity period of up to 30 days.
- Agreements form upon written acceptance or confirmation of orders, with any deviations requiring written approval.
- Additional work, including extra installations or enhanced monitoring, will be proposed in writing and require explicit approval before proceeding.
- Prices are stated in U.S. Dollars, exclusive of sales tax, with adjustments possible due to cost changes or regulatory updates.
- Invoices for one-time projects are issued within 7 days (50% advance payment required), while ongoing services are billed monthly.
- Payments are due within 14 days; late payments incur interest and may include collection and legal fees.Delivery and installation are performed as agreed, with delays due to customer approvals or third-party actions not attributed to TechCare Solutions.
- Warranties cover defects in services and products for a defined period, excluding issues from misuse or unauthorized changes.
- Liability for direct damages is limited to the fees paid, and TechCare Solutions is not liable for indirect or consequential losses.
- Early termination and breaches may result in compensation obligations, and proprietary materials must be returned upon termination.
- Confidentiality and data privacy are maintained in compliance with U.S. laws (including the CCPA), with cybersecurity measures in place.
- The agreement is governed by U.S. law, with disputes handled in San Antonio courts.
